## SOFTWARE LICENSE AGREEMENT

**IMPORTANT - READ CAREFULLY:** This Software License Agreement ("Agreement") is a binding legal contract between you (either an individual or a single entity) and David Vitas for the PlayerBox software product ("Software"). By installing, copying, or otherwise using the Software, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.

**IF YOU DO NOT AGREE TO THESE TERMS, DO NOT INSTALL OR USE THE SOFTWARE.**

### 1. DEFINITIONS

* **"Personal License"** means a license purchased for individual users (single person/freelancer).
* **"Business License"** means a license purchased for companies, organizations, studios, or any multi-user environment. Each Business License covers one (1) seat/user.
* **"Software"** means the PlayerBox application, including all associated files, data, and materials delivered with this Agreement.
* **"Commercial Use"** means any use of the Software in connection with any activity intended for or resulting in financial gain or compensation, including but not limited to: client work, products for sale, monetized content creation, or services provided to third parties.

### 2. LICENSE TYPES AND USAGE RIGHTS

Upon payment of the applicable license fee through Gumroad or an authorized distributor, David Vitas grants you the following rights based on your license type:

#### Personal License

* For individual users (single person/freelancer)
* May be installed on unlimited devices owned and controlled by the individual licensee
* Can be used for both personal and commercial projects
* Cannot be shared with or used by other individuals

#### Business License

* For companies, organizations, studios, or any multi-user environment
* One (1) license required per user (seat-based licensing)
* May be installed on unlimited devices used by the licensed user
* Designed for businesses purchasing licenses for their employees or team members

Both license types grant a perpetual, non-exclusive, non-transferable right to use the Software subject to the terms of this Agreement.

### 3. INSTALLATION AND DEVICE USAGE

You may install PlayerBox on as many computers as needed, provided that:

* **For Personal License:** All devices must be owned and primarily used by the individual licensee.
* **For Business License:** All devices must be used by the specific licensed user(s) according to the number of seats purchased.

### 4. RESTRICTIONS

You expressly agree NOT to:

* Share, rent, lease, sublicense, or transfer your license to others (except as provided in Section 5)
* Modify, reverse engineer, decompile, or disassemble the Software
* Create derivative works based on the Software
* Remove or alter any proprietary notices from the Software
* Use the Software for any unlawful purpose or in violation of any regulations
* Circumvent or disable any licensing or control features
* Use a Personal License in a multi-user environment or share it with other individuals
* Exceed the number of authorized users for Business Licenses

### 5. LICENSE TRANSFERS AND REASSIGNMENT

**Personal Licenses:** Non-transferable under any circumstances.

**Business Licenses:** May be reassigned to another employee within the same organization when the original licensed user leaves the organization or changes roles. Such reassignment must be documented and David Vitas may be notified via the contact form. The license cannot be transferred to a different organization or entity.

### 6. REFUND POLICY AND TRIAL

**ALL SALES ARE FINAL.** Due to the nature of digital software products, no refunds will be provided after purchase. A free demo version with limited functionality is available for evaluation before purchase. Please ensure the Software meets your requirements by testing the demo before completing your purchase.

### 7. SUPPORT AND MAINTENANCE

Technical support is offered on a best-effort basis via the contact form at <https://www.davidvitas.com/#contact>.

* No guaranteed response time is provided
* Support scope includes: installation assistance, bug reports, and general usage questions
* Support does not include: custom feature development, third-party integration assistance, or training services

David Vitas reserves the right to modify or discontinue support services at any time without prior notice.

### 8. SOFTWARE UPDATES

**Minor Updates** (bug fixes, minor improvements): Provided free to all licensed users during the major version lifecycle.

**Major Version Upgrades** (significant new features, interface overhauls): May require additional purchase at a discounted rate for existing license holders.

Update delivery is at David Vitas's discretion and no specific update schedule is guaranteed.

### 9. PRIVACY AND DATA COLLECTION

PlayerBox operates primarily locally on your device. The Software collects minimal data:

* **Data Collected:** Anonymous crash reports (if enabled), license validation checks
* **Data NOT Collected:** Personal audio files, project content, usage patterns, or any personally identifiable information beyond license validation
* **Network Usage:** Limited to license validation and optional crash reporting

All data handling is performed in accordance with applicable privacy laws. You may disable crash reporting in the application settings.

### 10. INTELLECTUAL PROPERTY

The Software is protected by copyright laws and international treaties. David Vitas retains all rights, title, and interest in and to the Software, including all intellectual property rights. This Agreement grants you only a limited right to use the Software and does not transfer any ownership rights.

### 11. USER-GENERATED CONTENT AND AUDIO ASSETS

PlayerBox does not include any audio files or assets. You are solely responsible for all content, including audio files, samples, and other materials that you import, load, or use with the Software. You represent and warrant that you have all necessary rights, licenses, and permissions for any content you use with PlayerBox.

David Vitas assumes no responsibility and shall not be liable for:

* Any copyright infringement resulting from your use of unauthorized content
* The legality, accuracy, or appropriateness of any user-imported content
* Any claims arising from your use of third-party content or materials
* Any output, derivatives, or results generated using user-supplied content

You agree to indemnify and hold harmless David Vitas from any claims, damages, or legal actions arising from your use of content with the Software.

### 12. LICENSE COMPLIANCE AND VERIFICATION

David Vitas reserves the right to verify license compliance upon reasonable notice (minimum 30 days). For Business Licenses, this may include requesting documentation of the number of users and installation locations. Failure to demonstrate compliance may result in license termination.

### 13. WARRANTY DISCLAIMER

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. DAVID VITAS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. YOU ASSUME ALL RISK ASSOCIATED WITH THE USE OF THE SOFTWARE.

### 14. LIMITATION OF LIABILITY

IN NO EVENT SHALL DAVID VITAS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM OR RELATED TO THIS AGREEMENT OR THE SOFTWARE. DAVID VITAS'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE LICENSE.

### 15. TERMINATION

This Agreement remains in effect until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

### 16. DISPUTE RESOLUTION

**Arbitration:** For disputes involving claims under $10,000 CAD, either party may elect binding arbitration under the rules of the Canadian Arbitration Association, with proceedings conducted online.

**Jurisdiction:** For all other disputes, this Agreement shall be governed by the laws of the Province of Ontario, Canada, and any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

### 17. AGREEMENT MODIFICATIONS

David Vitas may update this Agreement from time to time. For material changes affecting existing users:

* Email notification will be sent to the email address associated with your license purchase
* Continued use of the Software after 30 days from notification constitutes acceptance of the updated terms
* You may continue using your current version under the existing Agreement if you do not accept the new terms, but will not receive further updates

### 18. GENERAL PROVISIONS

**Severability:** If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

**Entire Agreement:** This Agreement represents the complete agreement between the parties regarding the Software and supersedes all prior or contemporaneous communications.

**No Waiver:** Failure to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.
